unQbd Terms of Use

These Terms of Use ("Terms") govern your access to and use of unQbd’s platform offering digital books, audiobooks, subscriptions, social/community features, author tools, and related services (the "Service"). By using the Service, you agree to these Terms.

1. Accounts and Eligibility

• You must be at least 18, or the age of majority where you live, to create an account. Minors may use the Service only with a parent/guardian’s consent and supervision.
• Provide accurate information and keep your credentials secure. You are responsible for all activity under your account.

2. Plans, Billing, and Cancellation

• We may offer Free and Premium memberships with different features, limits, or pricing. Details are shown at sign-up and on your Account page.
• Premium is billed in recurring cycles until canceled. Taxes or fees may apply based on your location and payment method.
• Cancel anytime in Account settings; access continues until the end of the current billing period. Payments are non-refundable except where required by law.
• We may change plans or pricing with prior notice where required. Continued use after effective date constitutes acceptance.

3. License and Use of the Service

• We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms and your plan limits.
• Content availability may vary by region, plan, device, and rights restrictions. Offline access, device limits, and quality may vary and are not guaranteed.
• Do not copy, distribute, publicly perform/display, modify, create derivative works, circumvent security, or use automated means (e.g., scraping) except as expressly permitted.

4. User-Generated Content and Community

• When you post content (e.g., reviews, comments, posts), you grant unQbd a worldwide, non-exclusive, royalty-free license to use, host, reproduce, display, and distribute your content to operate and promote the Service. You retain ownership of your content.
• You will not post unlawful, infringing, hateful, harassing, or deceptive content, or spam. We may moderate, remove, or restrict content or accounts that violate these Terms or our guidelines.
• Report abuse or infringement via our Contact page.

5. Author Content and Payouts

• Authors grant unQbd the necessary rights to host, distribute, and make their content available to users, and to calculate and remit earnings based on the program terms published on the platform.
• Authors are responsible for the content they upload and for securing rights, permissions, and compliance with applicable laws.

6. Third-Party Services

We use third-party services (e.g., Stripe for payments, Azure for hosting and storage, email providers, analytics). Your use of those services may be subject to their terms and privacy policies. We are not responsible for third-party services.

7. Intellectual Property; DMCA

• unQbd and its licensors own the Service and its software, design, trademarks, and content except where user or author content applies.
• If you believe your copyright was infringed, submit a detailed notice via our Contact page. We may remove content and, where appropriate, terminate repeat infringers.

8. Prohibited Conduct

• No unauthorized access, interference with security or performance, reverse engineering, or automated scraping.
• No sharing of paid content beyond your household or plan limits; no resale or commercial exploitation without permission.

9. Disclaimers and Limitation of Liability

• The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation or particular content availability.
• To the maximum extent permitted by law, unQbd is not liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits or data.
• Some jurisdictions do not allow certain limitations; some terms may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless unQbd and its affiliates, officers, directors, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, violation of these Terms, or violation of any law or third-party rights.

12. Liability Cap

To the maximum extent permitted by law, unQbd’s total aggregate liability for all claims relating to the Service shall not exceed the greater of (a) US$100 or (b) the amounts you paid to unQbd for the Service in the twelve (12) months before the event(s) giving rise to liability. This cap does not apply to liability that cannot be limited under applicable law and does not limit liability for unQbd’s gross negligence or willful misconduct where such limitation is unenforceable.

13. Content Management; No Storage Obligation

We may remove or refuse to distribute any content, limit distribution or visibility, suspend or terminate users, and reclaim usernames in our sole discretion, where permitted by law. We do not promise to store or continue to display any content and have no obligation to maintain or provide backups.

14. Beta and Experimental Features

From time to time we may offer preview, beta, or experimental features. Such features are provided “as is,” may be modified or discontinued at any time, and may have limited support and availability.

15. Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, utility or power failures, internet disturbances, actions of governmental authorities, or similar events.

16. Time to Bring Claims

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action accrues, or such claim is permanently barred, except where a longer period is required by law.

17. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any restricted country or on any restricted party list.

18. Anti-Scraping; AI/Model Training

You may not access the Service by means of any scraping, crawling, bulk harvesting, or other automated methods without our prior written consent, nor use any content, data, or metadata from the Service to train machine learning or AI models without a separate written license from unQbd.

19. Payments; Chargebacks; Setoff

We may suspend access for suspected fraud or chargebacks and may recover any related fees or losses. For author payouts, we may set off against amounts otherwise payable to you any sums you owe to unQbd, including chargebacks, refunds, or adjustments.

20. Author Representations, Warranties, and Audit

Authors represent and warrant that they have all necessary rights to their content, that it does not infringe or violate any third-party rights or laws, and that metadata and payment information are accurate. unQbd may, upon reasonable notice, audit relevant records to verify payout calculations and compliance with program terms.

21. Termination

We may suspend or terminate access to the Service for violations of these Terms, illegal activity, or risk to users, the platform, or rights holders. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

22. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes will be notified as required by law. Continued use after changes take effect constitutes acceptance.

23. Miscellaneous

• Governing Law: Florida law, without regard to conflicts of laws, except where local law requires otherwise for consumer protections.
• Company: unQbd Inc., 581 N Park Ave #4201, Apopka, FL 32704, USA.
• Severability: If a provision is unenforceable, the remaining provisions remain in effect.
• Assignment: We may assign our rights and obligations; you may not assign without our consent.
• Notices: We may provide notices electronically to the email associated with your account or in-app.
